Why founders choose this
Benefits, and the honest trade-offs
Separate legal identity
The company owns its contracts, bank accounts and assets in its own name, which keeps business obligations separate from personal ones.
Limited liability
Shareholders are liable only to the extent of the amount unpaid on their shares, except where personal guarantees are given.
Investor-ready structure
Equity shares, share transfers and cap tables are recognised structures, so priced rounds and ESOPs do not require a change in entity type.
Credibility with counterparties
Banks, enterprise customers and marketplaces can verify a company on the public register before onboarding you.
Continuity
The company continues to exist when directors or shareholders change, so agreements and licences stay with the entity.
Things to weigh before you decide
- — Annual filings, board records and statutory registers are mandatory, whether or not the company trades.
- — Auditor appointment is required within 30 days of incorporation.
- — Closing or winding up a company takes longer and costs more than closing a proprietorship.
- — Director and shareholder details are public on the MCA register.
